Terms and Conditions Community

These Terms set the ground rules for Techleap Community membership.
The terms are written to be clear, fair, and practical. 

1) Who this agreement is between

Member
The company purchasing Seats and participating in Techleap’s products and services (“Member”).
Together, Techleap and the Member are the “Parties”.

2) Definitions (the important ones)

Seat
One paid membership Seat gives one person access to Techleap products and services, based on the plan purchased.
Seats are purchased by the Member and managed by the Founder Account Owner.

Founder
An individual who helped start the company and held equity at the time of founding.

Leader
A person in a senior role with strategic decision-making responsibility (e.g., C-level or equivalent).

Founder Account Owner
A Founder who acts as the administrator of the Member account and can:
- purchase Seats,
- assign Seats to people within the company,
- transfer Seats when needed (e.g., role changes).
A Member must always have at least one Founder Seat to maintain an active subscription.

Products
Techleap Community membership is organised around products:
- Connect – baseline membership product
- Circles – premium peer groups product
- Cities – international trips product

Platform
Techleap’s online platform used for community access, communication, and participation in products.
The Platform is provided “as is”. Techleap will make best efforts to keep it available, but cannot guarantee uninterrupted access.

3) What membership gives you

When the Member purchases and pays for Seats, Techleap grants the Seat holders the right to:
 - take part in Techleap products and community,
 - access the Platform,
 - join events and sessions that are included in the Seat plan.

Membership benefits start only when payment has been received in full.

Terms & Conditions

1. Seats, access, and participation

1.1 Seat-based membership
Membership is sold on a pay-per-seat basis.
A Seat provides access for one person.
Techleap may offer different Seat types (for example: Connect Seat, Circles Seat), and pricing may vary by stage or package.

1.2 Assigning and transferring Seats
Seats must be assigned by the Founder Account Owner using Techleap’s registration process.
Each Seat is tied to one named individual and may not be shared between multiple people.
Seats may only be transferred to another individual within the Member’s organisation if:
- the original Seat holder leaves the company, changes role, or no longer needs access, and
- the new Seat holder meets the eligibility requirements for that Seat (if applicable), and
- the transfer is registered through Techleap’s process.
Techleap may refuse or restrict transfers if they appear to be used to bypass pricing, limits, or participation rules.
Seats aren’t meant to rotate around the company. If a Seat keeps moving from person to person, we’ll treat that as shared access.

1.3 Only authorised Seat holders may participate
Only people who have been registered and assigned a Seat may access Techleap services.
If the Member gives access to unauthorised individuals (or exceeds purchased Seats), Techleap may:
- charge additional fees, and/or
- suspend access, and/or
- terminate the Agreement.

1.4 Community Criteria apply
Techleap is a community. That only works when people behave like adults.
The Member is responsible for ensuring that all Seat holders follow Techleap’s community guidelines (“Community Criteria”).
Techleap may suspend or remove participants who behave in a disruptive, offensive, or harmful way.

1.5 No reselling or sharing access
The Member may not:
- sublicense, resell, or distribute access to Techleap,
- allow third parties to use Seats,
- charge others for participation.
This includes sharing login details or “passing someone in” informally.

1.6 Events and sessions are best-effort
Techleap will make reasonable efforts to deliver events and sessions regularly.
But Techleap does not guarantee:
- exact number of events,
- timing,
- speakers,
- agenda content,
- capacity.
Some activities may be limited, invite-only, or targeted (e.g. founder-only formats).

1.7 Products evolve
Techleap may improve, adapt, rename, restructure, or discontinue parts of its products and services over time — including the Platform.
The goal is to deliver value, not to freeze the offering in place.

1.8 Eligibility and participation quality
Some products, formats, and sessions are designed for specific audiences and may have eligibility requirements (for example: founder-only groups, limited-capacity sessions, or curated peer groups).
Techleap may decline, limit, or remove participation of an individual if necessary to protect:
- community trust and safety,
- session quality,
- peer group integrity, or
- the intended purpose of a product.




2. Product-specific terms

2.1 Connect
Connect provides baseline community access, including events, platform access, and curated networking.
Connect is the default entry product for Members.

2.2 Circles
Circles are small peer groups that meet repeatedly over time.
Participation in Circles may require:
- an upgraded Seat,
- adherence to attendance expectations,
- commitment to group quality.
Techleap may remove individuals from a Circle if participation quality drops or community standards are breached.

2.3 Cities (international trips)
Cities are international trips and are typically a paid add-on (unless explicitly included in a package).

Trips may involve third-party partners, travel planning, and limited seats.

Techleap is not responsible for disruptions caused by travel providers, local authorities, force majeure, or other external factors.

3. Invoicing and payment

3.1 Billing options

Members can choose to pay either:
- Yearly (default) or,
- Quarterly
This choice applies to the full contract term, unless Techleap agrees otherwise in writing.

3.2 Invoicing schedule

Techleap will send an initial invoice at the start of the contract, calculated pro-rata until the next billing period begins.


After that, invoicing follows the Member's chosen payment schedule:

  • Yearly payment: invoices are sent on the first day of each contract year

  • Quarterly payment: invoices are sent on the first day of each calendar quarter

Circles add-on: When a Member joins Circles, the fee will be added to their next regular invoice. The Circle's start date will be used to calculate the pro-rata amount until the next billing period.

3.3 Payment term
Invoices must be paid within 15 calendar days of the invoice date.
If payment is not received on time, the Member is in default automatically (no further notice required).

Techleap may suspend access until payment is received in full.

3.4 Changes to pricing
Techleap may adjust pricing once per year.

Techleap will give Members at least 30 days’ written notice before any change takes effect.

3.5 Taxes (VAT)
All fees are exclusive of VAT and any other applicable taxes, unless stated otherwise on the invoice.

3.6 No refunds
Membership fees are charged for access to the Techleap Community and its products during the contract period.
For that reason, fees are non-refundable, even if a Member does not use the Platform, attend events, or make full use of the Seats purchased.

The only exception is where this Agreement explicitly provides for a refund, or where a refund is required by applicable law.

3.7 Collection costs
If the Member fails to pay on time, Techleap may charge statutory interest and reasonable collection costs in line with applicable Dutch law.

4. Confidentiality and community trust

4.1 Confidentiality is part of the deal
Techleap sessions often include real-world discussions about growth, people, strategy, mistakes, and lessons learned.

That only works if participants can speak freely.

So confidentiality is not optional. It is a core condition of membership.

4.2 Chatham House Rules
Unless Techleap clearly states otherwise, Techleap sessions are treated as being held under Chatham House Rules, meaning:
- participants are free to use the information shared,
- but may not reveal who said it,
- and may not reveal which company it came from,
- and may not share identifying details that make it easy to trace back to a person or business.

4.3 What counts as a confidentiality breach
A confidentiality breach includes (but is not limited to):
- quoting or attributing another participant (directly or indirectly),
- sharing examples, stories, metrics, or business information that can be traced to a specific person or company,
- using information from sessions in public communications (LinkedIn, podcasts, blog posts, talks, press, newsletters, media),
- using information from sessions in third-party circumstances, including but not limited to:
   - commercial use,
   - investor conversations,
   - sales processes,
   - competitor research,
   - pitching,
   - recruitment or talent marketing,
   - sharing with advisors, agencies, partners, or other third parties.
If it didn’t come from your company, you don’t get to use it like it did.

4.4 Zero tolerance policy
Techleap operates a zero tolerance policy for confidentiality breaches.
If Techleap believes a Seat holder has breached confidentiality, Techleap may immediately:
- remove the individual from sessions, groups, or the Platform, and/or
- suspend or terminate the Member’s access (in full or in part), and/or
- terminate this Agreement.
This is done to protect the integrity of the community and the safety of its participants.

4.5 Member responsibility
The Member is responsible for ensuring all Seat holders understand and follow these confidentiality rules.

5. Liability and disclaimers

5.1 Liability cap
Techleap’s total liability per calendar year is limited to the amount the Member paid to Techleap in that year.

5.2 No indirect damages
Techleap is only liable for direct damages (as defined under Dutch law).
Techleap is not liable for:
- lost profits,
- lost business opportunities,
- loss of data,
- reputational damage,
- internal costs.

5.3 No professional advice
Techleap does not provide legal, financial, tax, HR, or investment advice.
Any decisions made by the Member or Seat holders are their own responsibility.

5.4 No guarantee of outcomes
Techleap does not guarantee outcomes, results, growth, fundraising, hires, partnerships, or performance improvements.

5.5 Exceptions
These liability limits do not apply in cases of wilful misconduct or intentional recklessness (opzet or bewuste roekeloosheid).

6. Term and termination

6.1 Term and renewal
This Agreement runs for one (1) calendar year, and renews automatically each year unless cancelled in writing at least one (1) month before renewal.

6.2 Member cancellation per quarter
The Member may cancel effective at the end of any calendar quarter by providing written notice at least one (1) month before the quarter ends.

6.3 Termination for cause
Either party may terminate immediately if:
1. the other party materially breaches the Agreement and does not fix it within 30 days after written notice, or
2. the other party becomes insolvent, bankrupt, dissolved, or stops business operations.

6.4 Techleap termination rights
Techleap may terminate:
- immediately if Community Criteria are breached,
- immediately if confidentiality is breached (see Section 4),
- for convenience with 4 months’ notice (with pro-rata refund of full months remaining),
- immediately if force majeure blocks performance for more than 60 days (with pro-rata refund of full months remaining).

6.5 After termination
After termination, all access ends. The Member and Seat holders must stop using the Platform and participating in Techleap products.

6.6 Terms that survive termination
Termination does not affect rights or obligations already accrued.
Clauses that survive include:
- payment obligations,
- confidentiality,
- liability,
- governing law and jurisdiction.

7. Force majeure

7.1 Force majeure
Neither party will be liable for any failure or delay in performance caused by events beyond their reasonable control, including (but not limited to):
- fire, flood, war, terrorism, strikes, epidemics or pandemics,
- government restrictions,
- outages or failures of third-party infrastructure or suppliers,
- Platform downtime caused by third-party systems.

8. Privacy and data

8.1 Personal data
Techleap processes personal data of Members and Seat holders to deliver its services and operate the Platform.
Techleap will process personal data in accordance with its Privacy Policy, as made available on the Platform.

9. Miscellaneous

9.1 Written notice
Any written notice under this Agreement must be sent by email to the official Techleap email address provided on the Platform.
Notices sent to other email addresses may not be treated as received.

9.2 No transfer without consent
The Member may not assign or transfer this Agreement without Techleap’s consent.

9.3 No third-party rights
No third party may derive rights from this Agreement unless explicitly stated.

9.4 Relationship of the parties
Nothing in this Agreement creates a partnership, joint venture, employment relationship, or agency between the Parties.

9.5 Entire agreement
This Agreement forms the complete agreement between the Parties regarding the Techleap membership and replaces any prior discussions or understandings.

9.6 If a clause is invalid
If a clause is invalid, the rest stays valid.
The invalid clause will be replaced with a valid one that best matches the original intent.

10. Governing law and jurisdiction

This Agreement is governed by Dutch law.

 Disputes will be brought before the competent court in Amsterdam, the Netherlands.
